DIRECTORS OF BELMONT FIRE PROTECTION DISTRICT

AGENDA AMENDMENTS

District President noted that there was an issue with the numbering of agenda items, and that only those items included in the packet would be approved.

 

CONSENT CALENDAR

Approval of Minutes of Regular Meeting of January 24, 2012

Approval of Resolution 2012-004 Authorizing a Retirement Plan Contract Between the Board of Administration California Public Employees' Retirement System and the Board of Directors Belmont Fire Protection District

 

ACTION: On a motion by Director Lieberman, seconded by Director Wozniak, the Consent Agenda was unanimously approved, as amended, by a show of hands.

 

 

ADDITIONAL BUSINESS

Resolution Appointing a Belmont Fire Protection District Representative to the Successor Agency (to the Redevelopment Agency) Oversight Board

Finance Director Fil noted that one agency to be represented by the Oversight Board, the San Mateo Community College District, has named its representative to the Board. He explained that there is no rush to making appointments to the Board, although May 1 is the ultimate deadline.

 

In response to Directors’ questions, Finance Director Fil explained that at the outset, the Oversight would likely have frequent meetings, since it would have oversight of the Recognized Obligation Payment Schedule (ROPS). He confirmed that appointing someone with financial background would be helpful. He clarified that the Successor Agency would continue to exist until new legislation is enacted or until all its activities discontinue, which could take some time due to the bonded indebtedness. He further clarified that if activities continue through 2016, the Successor Agency will be merged into a larger County Oversight Board.

 

Discussion ensued regarding potential appointees to the City’s Oversight Board. Finance Director Fil clarified that both he and Deputy Finance Director Lazzari would likely provide direct support to the Successor Agency and Oversight Board. He noted that there is a provision in the legislation which would exempt conflict of interest rules, and the exemption would apply to Councilmembers or District Directors as well.

 

Director Feierbach indicated that she provided San Mateo County Board of Supervisors President Tissier with names of potential appointees.

 

Finance Director Fil clarified that the Mayor will make two appointments and the Belmont Fire Protection District Board as a group will make one appointment.

 

City Attorney Rennie clarified that the Successor Agency’s obligation is to provide staff support to the Oversight Board. He noted that it will have a duty of loyalty and fiduciary duty to the entities which will ultimately receive the assets of the Redevelopment Agency. He explained that there could be practical difficulties in appointing City Councilmembers to the Oversight Board. He noted that while it is permissible to appoint them to the Oversight Board, he advised against doing so. He also suggested not appointing key staff members who would be providing information to the Successor Agency.

 

In response to District President Warden, City Attorney Rennie explained that joint powers authorities are cooperative relationships between agencies, and the Oversight Board will perform a different role in that it will be overseeing the dissolution of an entity.

 

In response to Director Braunstein, City Attorney Rennie further clarified that the Oversight Board will need to balance its obligations and exercise discretion regarding the interests of the City of Belmont. He noted it will have wide discretion. He explained that if three appointments are made now, a quorum of the Oversight Board will exist.

 

District President Warden suggested postponing action on making any appointments at this time.

 

ACTION: On a motion by Director Wozniak, seconded by Director Lieberman, and unanimously approved by a show of hands to postpone action on the Belmont Fire Protection District’s appointment of a member to the Oversight Board.
